These co-branded assets (the “Co-branded Assets”) are made available by Nominet UK (“Nominet”) to authorised .UK Registrars (“you”) solely for the promotion of .UK domain names. By downloading, accessing or using any Co-branded Asset, you accept and agree to be bound by these Terms of Use. If you do not accept these Terms, you must not use the Co-branded Assets. 

By using these Co-branded Assets, you agree to the following terms of use: 

Relationship with other agreements 

These Terms of Use are supplemental to, and are to be read together with, the Registry-Registrar Agreement between you and Nominet (the “RRA”) and any separate written agreement between you and Nominet relating to co-branded or marketing assets. These Terms do not replace, limit or vary the RRA or any such agreement. In the event of any conflict or inconsistency between these Terms of Use and the RRA (or any such separate written agreement), the RRA (or that agreement) shall prevail to the extent of the conflict. Where you have no such agreement in place with Nominet, these Terms of Use apply on a standalone basis to your use of the Co-branded Assets. 

1. You may use the Co-branded Assets solely to advertise and promote the availability of .UK domain names (including .co.uk, .org.uk, .me.uk and other domains within the .UK namespace) through your own registrar channel. You must not use the Co-branded Assets in any way that states or implies any partnership, joint venture, agency, or Nominet endorsement of your wider products, services or business. 

2. You must co-brand each Co-branded Asset only with a high-resolution version of your own logo (transparent background) in which you own or hold all necessary rights, and you warrant that your use of that logo does not infringe any third party’s rights 

3. You must add your logo only in the space indicated on the Co-branded Asset and must make no other modification to any Co-branded Asset. Without limitation, no edits are permitted, including: 
   • 3.1. Edits to the placement of the Registrar logo 
   • 3.2. Edits to the layout 
   • 3.3. Edits to copy 
   • 3.4. Edits that stretch, recolour or distort the image 
   • 3.5. Edits to The UK Domain logo
   • 3.6. Edits to any photography or graphics
   • 3.7. Any other alteration of any kind, this list being non-exhaustive; and you must not display any Co-branded Asset alongside, or in a manner that associates it with, content that is unlawful, misleading, defamatory, obscene, or otherwise likely to bring Nominet or the .UK brand into disrepute 

4. Within the allotted space, your logo must be sized and positioned so that it is consistent with the Co-branded Asset’s perspective and scale and does not obscure any other element. Nominet may require you to correct any placement that does not meet these standards. 

5. Unless otherwise approved in writing by Nominet, you must not use any artificial intelligence or generative tool to modify or generate derivative works from the Co-branded Assets. Where you use AI to produce any surrounding campaign material or material featuring the Co-branded Assets, you remain solely responsible for reviewing it for accuracy, legality and brand consistency before publication, and Nominet accepts no liability for such material. 

1. Licence. Nominet grants you a non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable licence to use The UK Domain and .UK logos and word marks (the “Marks”) solely as incorporated in the Co-branded Assets and solely for the permitted purpose set out above, for the duration of your RRA or other written agreement with Nominet. 

2. Reservation of rights. Nominet retains all intellectual property rights in the Co-branded Assets and the Marks. All goodwill arising from your use of the Marks accrues to Nominet. You acquire no rights beyond the licence granted and will not register, or challenge the validity of, the Marks. 

3. Quality control. You must, on request, provide Nominet with samples of your use of the Co-branded Assets, and must correct any use that does not comply with these Terms or Nominet’s brand guidelines. 

4. Suspension and take-down. Nominet may withdraw its approval or require you to cease use of, and remove, any Co-branded Asset at any time and for any reason. You must comply within five (5) business days of notice. 

5. Warranties. You warrant that: (a) you will comply with all applicable laws, the UK Code of Non-broadcast Advertising (CAP Code) and ASA rules, and Nominet’s brand guidelines; and (b) your use of your own logos and other intellectual property in connection with the Co-branded Assets does not and will not infringe the intellectual property rights of any third party. 

6. Liability. The Co-branded Assets are provided “as is”. To the fullest extent permitted by law, Nominet excludes all liability arising from your use of the Co-branded Assets or your campaigns; nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded. 

7. Governing law. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
